These Terms & Conditions ("Terms") are a legally binding agreement between you and ColeHart Enterprises ("Company," "we," "our," or "us") governing your use of OpticBid and all related services (collectively, the "Service"). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
OpticBid is an AI-powered government contract intelligence platform that monitors federal procurement databases (including SAM.gov) and state procurement portals, scores contract opportunities against your company profile using Google's Gemini AI, and delivers actionable insights including pursuit checklists and Contracting Officer outreach email drafts. The Service is designed to assist small businesses in identifying and preparing for relevant government contract opportunities.
You must be at least 18 years old and authorized to bind a business entity to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not share your account with others or create multiple accounts for a single user.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Service.
OpticBid offers a free tier and paid subscription plans. Paid plans are billed through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly for Starter and Growth plans) or as a one-time charge (Intro plan).
Cancellation: You may cancel your subscription at any time through the Manage Subscription portal in your Account settings. Upon cancellation, your paid access will continue until the end of your current billing period, after which your account will revert to the Free tier. We do not provide prorated refunds for partial billing periods.
Intro Plan: The $29 Intro plan is a one-time, non-refundable charge that provides 30 days of Intro-level access. It is available only once per user account.
Price changes: We reserve the right to change subscription prices with 30 days advance notice. Continued use after a price change constitutes acceptance of the new pricing.
All sales are final except where required by applicable law. We do not provide refunds for monthly subscriptions, partial billing periods, or unused features. If you believe a charge was made in error, contact us at support@colehartenterprises.com within 7 days of the charge and we will review your case.
OpticBid uses artificial intelligence to score contract opportunities, generate pursuit checklists, and draft Contracting Officer outreach emails. All AI-generated content is provided for informational and decision-support purposes only. It does not constitute legal, procurement, regulatory, or professional advice of any kind.
Contract scores, verdicts (Pursue / Partner / Watch / Skip), rationales, and email drafts are automated outputs based on publicly available data and your company profile. They may be incomplete, inaccurate, or outdated. You are solely responsible for verifying information independently and for any business decisions made based on the Service.

The Service, including its design, features, AI models, scoring logic, and content (excluding government procurement data sourced from public databases), is owned by ColeHart Enterprises and protected by applicable intellectual property laws. Your company profile data remains yours. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business development purposes.
Contract data is sourced from SAM.gov (U.S. GSA), state procurement portals, and other public databases. This data is provided by government agencies and may contain errors, omissions, or be out of date. We make no warranties regarding the accuracy, completeness, or timeliness of contract data displayed in the Service. Always verify contract details directly on the official source portal before taking any business action.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONTRACT OPPORTUNITIES IDENTIFIED WILL RESULT IN AWARDS OR REVENUE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLEHART ENTERPRISES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless ColeHart Enterprises and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in South Carolina, and you consent to personal jurisdiction in those courts.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and notify you via email or in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
